Terms of Service

1. Acceptance of Terms

By accessing, browsing, creating an account, linking social media channels, or initiating sponsorship transactions on Cloutty (https://cloutty.com), you agree to enter into a legally binding agreement with UCDREAMS TECHNOLOGIES LLP (“Company”, “we”, “us”, or “our”). If you do not agree to these Terms, you must discontinue your use of the Platform immediately.

2. Eligibility & Account Integrity

• You must be at least 18 years old (or the legal age of majority in your jurisdiction) to form a binding contract.
• You agree to provide true, accurate, and current profile and payment information.
• You are responsible for maintaining the confidentiality of your credentials and are fully liable for all activities conducted under your account.

3. Roles & User Responsibilities

• Creators: You represent and warrant that your connected social media channels, follower counts, and engagement metrics are genuine and not inflated through bots or click farms. You agree to deliver approved sponsorship deliverables strictly adhering to the agreed brief and schedule.
• Brands & Advertisers: You agree that 100% of the agreed campaign funds must be deposited and locked into Cloutty Escrow before creator work commences. You agree to review submitted deliverables within the defined inspection period (default 48 hours).
• Talent Agencies: Agencies managing creator rosters warrant that they possess valid legal power of attorney or contractual authority to represent and receive funds on behalf of their creator talent.

4. Escrow Mechanics & Payment Settlements

• All payments are securely processed through regulated, PCI-DSS compliant payment gateways (Stripe, Razorpay, PayPal).
• Escrow funds are held until milestone deliverables are confirmed and approved by the sponsor, or automatically settled upon expiration of the inspection window if no formal dispute is raised.
• Platform service fees (if applicable) are deducted automatically upon payout execution.

5. Platform Intermediary & Liability Disclaimer

Cloutty operates as an electronic intermediary marketplace under Section 79 of the Information Technology Act, 2000. UCDREAMS TECHNOLOGIES LLP does not create, endorse, censor, or guarantee user-generated content, advertising claims, or commercial conversion outcomes. In no event shall UCDREAMS TECHNOLOGIES LLP or its partners be liable for indirect, punitive, or consequential damages resulting from sponsorship contracts between independent users.

6. Prohibited Activities & Termination

Users may not:

• Attempt to circumvent Cloutty Escrow by transacting off-platform after finding matches on the site.
• Promote fraudulent schemes, deceptive financial products, hate speech, or unlawful material.
• Scrape, reverse-engineer, or overload our API endpoints or servers.

Violations will result in immediate account termination, forfeiture of pending promotional privileges, and reporting to relevant legal authorities.

7. Third-Party Services & YouTube Terms of Service

Cloutty integrates with third-party social media APIs to provide verified channel statistics and automated creator media kits. By connecting your social media accounts or using features that interact with YouTube API Services, you acknowledge and agree that you are bound by the YouTube Terms of Service, the Google Privacy Policy, and Meta Platform Policies. You may revoke Cloutty's access to your YouTube data at any time via your Google Security Settings.

8. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, arbitration, or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
